1.2. We grant you a limited license to access and make personal use of this Website or app, but not to download or modify the Website or app or any portion of it in any manner. Using our Services does not give you ownership of any intellectual property rights in our Services or the content you access. Except in the context of browsing or accessing our Services in accordance with these Terms and Conditions, you may not use content from our Services unless you obtain permission from its owner or are otherwise permitted by law. These terms do not grant you the right to use any branding or logos used in our Services.

2.1. These Terms and Conditions must be read in compliance with our Privacy Policy. The personal information you provide to us will remain confidential and if you do not agree to our use of your information, you must stop using these Services.
3.1. Use of the Website and app is available only to persons who can form legally binding contracts under Pakistan Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Pakistan Contract Act, 1872 including minors, un-discharged insolvents of unsound mind are not eligible to use the Services. If you are a minor i.e. under the age of 18 years, you cannot register as a member of the Services. As a minor, if you wish to make an investment, your legal guardian or parents who have registered as users of the Services may make such purchase on your behalf. We reserve the right to terminate your membership and refuse to provide you with access to the Website and app if it is brought to our notice or if it is discovered that you are under the age of 18 years.
3.2. We grant you a limited license to access and make personal use of the Services. This license does not include any downloading or copying of account information for the benefit of any other third party; caching, unauthorized hypertext links to the Website or app and the framing of any content available through the Website or app uploading, posting, or transmitting any content that you do not have a right to make available (such as the intellectual property of another party); uploading, posting, or transmitting any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure; or any use of data mining, robots, or similar data gathering and extraction tools. 4.1. Users may be able to share content and ideas on the Xstate Website and app. You are responsible for the material you post and guarantee that it is accurate, legal and not copied from any other source.
4.2. Xstate has a license to use, reproduce, display and distribute all content and ideas posted by you on the Services. You agree that Xstate has an unlimited license to use this content for any purpose and is not under an obligation to pay any compensation to you for the use of any ideas or content.
5.1. In order to access our Services and certain restricted parts of the Website you are required to register as either an investor or seller. Please note that an application to register as both an investor and a seller may be rejected by Xstate.
5.2. Registration as an investor or a seller with Xstate will not be confirmed until the following information has been provided and verified:

5.3. Upon confirmation of the details in 5.2 above, Users will be connected to Xstate. If the User’s details cannot be verified by Xstate, Xstate reserves the right to refuse the User access to the Website.
5.4. At the time of registration on the Services you will be able to generate a password and an account upon completing the registration process. You are responsible for maintaining the confidentiality of the password and account, and are fully responsible for all activities that occur under your password or account.
5.5. You are responsible for maintaining the confidentiality of your account access information and passwords. You shall be responsible for all uses of your Website and app registrations and passwords, whether or not authorized by you. The login information created for the purpose of accessing Xstate is to be used solely by the person who has registered with the Website or app. Xstate reserves the right to store the access information including the IP address of the computer/device from where the Website or app was accessed. You are not authorized to share your password or other account access information with any other party, temporarily or permanently, and breach of this obligation may tantamount to disabling the Xstate account at the sole discretion of Xstate and terminating the contract with You. You agree to:-
5.5.1 Immediately notify Xstate of any unauthorized use of your password or account or any other breach of security,5.5.2 Ensure that you log out from your account at the end of each session,5.5.3 You shall also ensure that you access the Website and app from an authorized source and connection. Xstate cannot and will not be liable for any loss or damage arising from your failure to comply with this Section.
6.1. Xstate will supply the Services to you from the date that the details in Clause 5 are confirmed.
6.2. Xstate will make every effort to ensure the Services are operational 24 hours a day, 7 days a week. However, there may be issues or delays due to events outside Xstate’s control.
6.3. Xstate may have to suspend the Services if it has to deal with technical problems or to make improvements. Xstate will contact you to let you know in advance where this occurs unless the problem is urgent or an emergency. This does not affect your obligation to pay any outstanding amounts on any services you may have requested from Xstate (as may be notified to the Users by Xstate).
6.4. In the unlikely event that there is any defect with the Services.
6.5. Please contact Xstate as soon as reasonably possible.
6.6. Please give Xstate a reasonable opportunity to repair or fix any defect.
6.7. Xstate will use every effort to repair or fix the defect as soon as reasonably practicable. You will not have to pay for Xstate to repair or fix a defect with the Platform under this clause 6.
6.8. By using Xstate you warrant that you:
6.8.1 are capable of forming legally binding contracts;6.8.2 will not provide your Xstate credentials to any third party;6.8.3 will not use Xstate in a way that breaches these terms of use, any laws or infringes any rights of third parties;6.8.4 will not interfere with anyone else’s use of Xstate, including sending spam; and6.8.5 will not copy, scrape or reproduce content from Xstate one including information about third parties without their consent.
6.9. In consideration of the circumstances, and where we think it is reasonable to do so, we may suspend or terminate your access to Xstate and reserve the right to take any appropriate steps at law to protect our interests or those of third parties.
7.1. Xstate offers fractional ownership of properties located in Pakistan for investment purposes only. The fractional ownership does not entitle the investor any right of possession in the property or any part of it. The terms and conditions of fractional ownership are also set forth in a separate agreement between the investor and xstate. Users should note the following:
7.1.1 Pictures and images on our website are for illustration purposes only. For an accurate description and details of any property, please read the description or contact our authorized representatives.7.1.2 When you use the Website or send emails or other data, information or communication to us, you agree and understand that you are communicating with us through electronic records and you consent to receive communications via electronic records from us periodically and as and when required. We will communicate with you by email or by an electronic record on our Website which will be deemed adequate service of notice / electronic record.
8.1. Investment Procedure
8.1.1 The investor shall opt to buy a token(s) at the value determined by xstate. The value shall be fixed and non-negotiable.8.1.2 After the token has been purchased, the Platform shall be updated with the details of the investor.8.1.3 The details of the investor and their record shall be maintained on a Distributed Ledger Technology (DLT) using block chain.8.1.4 We reserve the right to amend, alter and determine the investment procedure and matters related to it, at any time, without providing any prior notice to the users.8.1.5 The sale/purchase of the tokens shall be subject to the terms and conditions in the investor agreement.
8.2. Property Valuation
8.2.1 Property prices are set taking into consideration the approximate market value and are subject to change without any prior notice. The prices mentioned on the Website are not subject to comparison with the same or any similar property on other platforms. Xstate reserves the right to determine the prices at its sole discretion. While we strive to provide accurate pricing information, an inadvertent mistake or typographical errors may occur. In the event that a property is listed at an incorrect price or with incorrect information due to an error in pricing or property information, we will contact you for further instructions.
8.3. Other Information
8.3.1 Please note that there may be certain investments that we are unable to accept and must cancel. We reserve the right, at our sole discretion, to refuse or cancel any request to invest for any reason. Some situations that may result in your request being denied may include limitations, inaccuracies or errors in property details or pricing information or personal information. We may also require additional verification or information before accepting any request to buy.
8.4. Disclaimers
8.4.1 Prior to entering into this agreement with the Company, the Investor hereby agrees that they fully understand the business model of xstate which is a Shariah-compliant investment scheme with profit and loss sharing between the parties. All investments involve risks, including the risk of loss of the investment amount. The investor is responsible for conducting their own due diligence and assessing the risks associated with the investment.8.4.2 The investor hereby understands that their investment does not provide them any right in the sale, management, transfer, and possession of the listed property or any of its parts at any time.8.4.3 The investment amount in the listed property does not guarantee any specific returns or profits. The value of the listed property may vary from time to time, depending on the real estate market and business in the country. Xstate shall not be responsible for any losses that occur during the ownership, management, and sale of the property except as specified in the Investment Agreement.8.4.4 The Terms and Conditions and Investment Agreement do not constitute legal, financial, or investment advice. The investors are encouraged to seek independent professional advice before entering into agreement with xstate.
9.1. A lump sum payment shall be made by the investor into the designated bank account for the token purchased.
9.2. Once a payment has been made, it is non-refundable and the tokens can only be sold to the list of investors approved by xstate.
9.3. Xstate shall charge a fixed transaction fee for every transaction performed by the investor, including but not limited to the purchase, sale, or transfer of the token(s).
9.4. The investor agrees that xstate may deduct and deposit any applicable tax on behalf of the investor on each transaction performed including the buying and selling of token(s) and return of investments. This does not absolve the investors of payment of any other taxes for which they may be responsible.
10.1. In consideration of you agreeing to abide by these Terms, xstate grants you a non-transferable, non-exclusive license to use our Website and app, subject to these terms, the Privacy Policy and any other applicable rules. Xstate reserves all other rights.
10.2. You may download or stream a copy of the Website or application onto your device, to view, use and display the Website on the device for your personal purposes only.
10.3. You acknowledge that all Intellectual Property Rights on the Website or mobile application anywhere in the world belong to xstate or its licensors, that rights on the Website are licensed (not sold) to you, and that you have no rights in, or to, the website, other than the right to use it in accordance with these Terms. You acknowledge that you have no right to have access to the website or app in source-code form.
10.4. Unless otherwise indicated or anything contained to the contrary or any proprietary material owned by a third party and so expressly mentioned, xstate owns all Intellectual Property Rights to and into the Website and app, including, without limitation, any and all rights, title and interest in and to copyright, related rights, patents, utility models, trademarks, trade names, service marks, designs, know-how, trade secrets and inventions (whether patentable or not), goodwill, source code, meta tags, databases, text, content, graphics, icons, and hyperlinks. You acknowledge and agree that you shall not use, reproduce or distribute any content from the Website or app belonging to xstate.
11.1. All intellectual property rights, whether registered or unregistered, in the Website and app, information content on the Website and app and all the website and app designs, including, but not limited to text, graphics, software, photos, video, music, sound, and their selection and arrangement, and all software compilations, underlying source code and software shall remain our property. The entire contents of the Website and app also are protected by copyright as a collective work under Pakistani copyright laws and international conventions. All rights are reserved.
12.1. Xstate and its affiliated companies respect the intellectual property of others, and we ask our users, account holders and content partners to do the same. The unauthorized reproduction, copying, distribution, modification, public display or public performance of copyrighted works constitutes infringement of the copyright owners’ rights. As a condition to your use of xstate, You agree not to use xstate to infringe the intellectual property rights of others in any way, directly or indirectly. We at our sole discretion, will terminate the accounts of any xstate account holders, and block access to xstate of any Users who to the knowledge of xstate are infringers of the copyrights, or other intellectual property rights, of others. We reserve the right to take these actions at any time, in our sole discretion, with or without notice, and without any liability to the account holder who is terminated or to the User whose access is blocked. The Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with the Company in connection therewith.

Any such termination or suspension shall be made by us in our sole discretion, without any refund to you of any prepaid fees or amounts, and we will not be responsible to you or any third party for any damages that may result or arise out of such termination or suspension of your account and/or access to xstate. 22.1. This refers to any software (and updates) that we use for the Services. You shall not use any robot, spider, other automatic software or device or manual process to monitor or copy the website or the content, information or services on this website without prior written consent. 22.2. If you use our software for any illegal purposes or in violation of this agreement, we reserve the right to terminate your account.

23.1. When you opt to make an investment on the website, it amounts to a legal offer to invest in the property. Once the investment is approved, it constitutes an acceptance of the offer.
23.2. Xstate or the seller may limit the number of investments a single person can make.
23.3. Xstate shall not be held liable for failing to fulfill any obligations under these terms and conditions if the events lie beyond our reasonable control.
23.4. The prices displayed on the Website are in PKR and exclusive of any governmental taxes and additional costs unless clearly mentioned.
23.5. We may ask for information to verify the payment details provided by you. This verification is done to ensure there is no fraudulent or illegal activity. If you fail to comply with the verification procedure, your purchase request will automatically be canceled.
24.1. In the event that any provision of these Terms and Conditions is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms and Conditions, such termination shall not affect the validity and enforceability of any other remaining provisions.

25.3. This contract is between you and Us. No other person shall have any rights to enforce any of its terms under the Contracts (Rights of Third Parties) Act.
25.4. Each of the paragraphs of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful, the remaining paragraphs will remain in full force and effect.
25.5. If xstate fails to insist that you perform any of your obligations under these Terms, or if it does not enforce its rights against you, or if it delays in doing so, that will not mean that it has waived its rights against you and will not mean that you do not have to comply with those obligations. If xstate does waive a default by you, it will only do so in writing, and that will not mean that it will automatically waive any later default by you.
26.1. ASSIGNMENT. You may not assign or sub-license the rights, duties or obligations under the Terms and Conditions, in whole or in part, to any person or entity without the prior written of xstate.
26.2 GOVERNING LAW AND JURISDICTION:. Any disputes arising between You and xstate is to be governed by and construed in accordance with the laws of Pakistan.
26.3 SEVERABILITY AND WAIVER:. If any provisions of these Terms and Conditions are found to be invalid by any court having competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect. No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term.
26.4 ENTIRE AGREEMENT:. The Terms and Conditions including the xstate Investor Agreement and xstate Privacy Policy constitute the entire agreement between You and xstate.

We reserve the right, at our sole discretion, to update, change or replace any part of these Terms and Conditions by posting updates and changes to our Website and app. It is your responsibility to check our Services periodically for changes. Your continued use of or access to our website or the Services following the posting of any changes to these Terms and Conditions constitutes acceptance of those changes.
